Terms of Service
Please read these terms carefully before using our services.
Effective Date: 27 July 2025
1. Acceptance
By accessing or using any website, app, AI chatbot, API, subscription or other service operated by Tallal Technologies ("we," "our," "us"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms"). If you don't agree, don't use the Services.
2. Eligibility
You must be at least 18 years old and legally able to enter contracts. Using the Services on behalf of an organization means you have authority to bind that entity.
3. Services & Subscriptions
Software‑as‑a‑Service (SaaS):
Access is provided on a subscription basis. Plan limits (users, API calls, storage, etc.) are described at checkout.
Custom Projects:
Scope, price, milestones and intellectual‑property ownership are set in a separate statement of work (SOW) or Upwork/Fiverr contract; those terms control if they conflict with these Terms.
Uptime SLA:
We target 99.5% monthly uptime measured at the server edge. Scheduled maintenance and causes outside our reasonable control (e.g., internet backbone outages, force majeure) are excluded. Remedies: service‑credit equal to 5% of monthly fee for each full 0.5% below SLA, capped at 100% of that month's fee.
4. Account & Security
- Keep login credentials confidential.
- You're responsible for all activity under your account—even by a rogue intern.
- Notify us immediately of unauthorized use.
5. Acceptable Use
You must not:
- Break the law, violate regulations (export control, sanctions, privacy, spam, etc.)
- Reverse‑engineer, scrape or hack our code or AI models
- Upload malicious code or infringe others' IP
- Use our AI to create disallowed content (hate, sexual exploitation, self‑harm, violence, etc.) per OpenAI policies
- Overload the Service (DoS, abusive API calls)
We may suspend or terminate accounts that violate this section without refund.
6. Payments & Taxes
- Fees are billed in USD (or PKR for local clients) plus applicable taxes.
- Subscriptions auto‑renew monthly or annually until cancelled in the dashboard or by written notice at least 3 days before renewal.
- Late payments may incur a 1.5% monthly interest (or maximum legal rate).
- All sales are final unless stated otherwise in an SOW; chargebacks without good‑faith dispute resolution violate these Terms.
7. Intellectual Property
Our IP:
All software, models, dashboards and documentation are owned by Tallal Technologies or its licensors. We grant you a non‑exclusive, non‑transferable license to use them during your subscription.
Your IP:
You own the data, prompts and content you upload. You grant us a worldwide license to process it to provide and improve the Services.
Custom Deliverables:
Ownership is specified in the SOW (default: you own deliverables upon full payment; we retain background IP and generic know‑how).
8. Feedback
Any suggestions or feedback become our property without obligation to compensate you.
9. Confidentiality
Both parties must keep the other's non‑public information confidential and use it only to perform under these Terms, except where disclosure is compelled by law.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and that AI outputs will be correct, unbiased or safe for any decision‑making.
11. Limitation of Liability
To the maximum extent permitted by law:
- Indirect, incidental, punitive or consequential damages are excluded.
- Our total liability for any claim related to the Services is limited to the fees you paid us in the three months before the event giving rise to liability.
Some jurisdictions don't allow these limits—if so, we limit liability to the smallest amount allowed.
12. Indemnification
You'll defend and indemnify us against third‑party claims arising from (a) your content, (b) your breach of these Terms, or (c) your use of the Services in violation of law.
13. Termination
- You may cancel at any time; fees already paid are non‑refundable.
- We may suspend or terminate for your material breach with 7 days' notice (immediate for Section 5 violations).
- Upon termination, your license ends and you must delete any confidential information or software we provided that isn't expressly yours to keep.
14. Export Control
You must comply with applicable export laws and sanctions. You can't use the Services in embargoed countries or for prohibited end‑uses (e.g., WMD development).
15. Governing Law & Dispute Resolution
Law:
These Terms are governed by the laws of Punjab, Pakistan without regard to conflict‑of‑law rules.
Informal resolution:
Contact us first; we'll try to resolve amicably within 30 days.
Arbitration:
If unresolved, disputes will be settled by final, binding arbitration in Faisalabad under the Pakistan Arbitration Act 1940. Either party may seek injunctive relief in court to protect IP or confidential information.
16. Changes to Terms
We may update these Terms by posting a revised version and, for material changes, giving 14 days' notice via e‑mail or in‑app. Continued use after the effective date equals acceptance.
17. Miscellaneous
- Entire Agreement: These Terms + any SOW is the whole deal, superseding prior agreements.
- Severability: If any provision is unenforceable, the rest stays valid.
- No Waiver: Our failure to enforce a provision isn't a waiver of future enforcement.
- Assignment: You can't assign these Terms without our written consent; we may assign in connection with a merger or asset sale.
